Maximum Number of Shares definition

Maximum Number of Shares is defined in Section 2.1.4.
Maximum Number of Shares shall have the meaning specified in Section 2.1(d).
Maximum Number of Shares means that percentage that the Company may issue without shareholder approval under the applicable rules of the National Market or the applicable OTC Bulletin Board or equivalent entity, of the then issued and outstanding shares of Common Stock of the Company as of the applicable date of determination, or such greater number of shares as the stockholders of the Company may have previously approved.
