  • If requested to do so by BUYER in writing, and as BUYER’S sole and exclusive remedy, OERLIKON METCO agrees to replace, at OERLIKON METCO’S own cost, any MATERIALS which do not meet the specifications described in the said product data sheet or which have been specifically agreed upon in the CONTRACT.

  • However, OERLIKON METCO does not provide any warranty for successful achievement of the results envisaged in the CONTRACT.

  • Unless explicitly specified in the CONTRACT, OERLIKON METCO shall not provide performance guarantees.

  • In the event of such cancellation, OERLIKON METCO may complete the performance of the PURCHASE ORDER by such means as OERLIKON METCO selects, and SUPPLIER shall be responsible for any additional costs incurred by OERLIKON METCO in so doing, SUPPLIER shall deliver or assign to OERLIKON METCO any work in progress as OERLIKON METCO may request and shall grant OERLIKON METCO the right to use or have used all SUPPLIER documentation required for the completion of the SCOPE OF SUPPLY.

  • Xxxxxxx Group means (i) any member of the Xxxxxxx Family, (ii) Xxxxxxx Energy Partners I, LP and SEP Management I, LLC, (iii) Xxxxxxx Parent, (iv) Xxxxxxx Investor, (v) Xxxxxxx Production Partners LP, (vi) Xxxxxxx Oil & Gas Corporation, (vii) Blackstone Newco and (viii) any Person Controlled by any one or more of the foregoing (other than the General Partner, the Partnership or any of their respective Subsidiaries).

  • LOCKHEED XXXXXX means LOCKHEED XXXXXX CORPORATION, acting through its companies or business units as identified on the face of this Contract. If a subsidiary or affiliate of LOCKHEED XXXXXX CORPORATION is identified on the face of this Contract, then "LOCKHEED XXXXXX" means that subsidiary or affiliate.
