Option Certificate definition

Option Certificate means the certificate, substantially in the form set out as Schedule “A” hereto, evidencing an Option;
Option Certificate means a certificate issued by the Corporation in the form or any one of the forms approved by the Plan Administrator, evidencing the terms and conditions on which an Option has been granted under the Plan and which need not be identical to any other such certificates;
Option Certificate means the agreement, in substantially the form set out as Schedule "A" hereto, evidencing the Option.

Examples of Option Certificate in a sentence

  • The Warrants and the Compensation Options have been, or prior to the Closing Time will be, duly and validly created and when issued and delivered by the Corporation pursuant to this Agreement, the Warrant Indenture and the Compensation Option Certificate, as applicable, the Warrants and the Compensation Options will be validly issued.

  • The Compensation Options will contain anti-dilution provisions comparable to those set out in the Warrant Indenture, the terms of which shall be set out in the Compensation Option Certificate.

  • This Option Certificate and the Agent's Compensation Options represented hereby are non- assignable and non-transferable, provided, however, that this Option Certificate and the Agent's Compensation Options represented hereby may be transferred to the Affiliates of the Optionholder, subject to the rules of the Exchange.

  • In the event that the rights evidenced by this Agent’s Option Certificate are exercised in part, the Corporation will, contemporaneously with the issuance of the Common Shares issuable on the portion of the Agent’s Options so exercised, issue to the Holder a replacement Agent’s Option Certificate representing the unexercised balance of the Agent’s Options.


More Definitions of Option Certificate

Option Certificate means a certificate executed by the Company and delivered to an Optionee that sets out the terms of an Option held by the Optionee as described in section 9;
Option Certificate means the certificate evidencing a grant of an Option pursuant to Rule 3.2;
Option Certificate means a written or electronic document setting forth the terms and provisions applicable to a Non-Qualified Stock Option granted under the Plan. Each Option Certificate is subject to the terms and conditions of the Plan.
Option Certificate means a certificate issued by the Company to the Option Holder evidencing the title of the Option Holder to the Option;
Option Certificate means the certificate (whether in electronic or written form) which sets forth the terms and conditions of an Option granted under this Plan.
Option Certificate shall have the meaning given to such term in Section 7.2 hereof.
Option Certificate means, with respect to an Option granted pursuant to the Plan and this Appendix, the certificate evidencing such Option, substantially in the form set out as Schedule “A” to the Plan but modified to include the information required to be included pursuant to Section 3.4 of this Appendix and confirmation thereof by the signature of the Participant to whom the Option was granted.
