Parent Termination Fee definition

Parent Termination Fee has the meaning set forth in Section 7.3(b).

Parent Termination Fee means an amount in cash equal to $72,980,000.

Examples of Parent Termination Fee in a sentence

• In no event shall Parent, Merger Sub or the Guarantors have liability for monetary damages (including monetary damages in lieu of specific performance and damages pursuant to the penultimate sentence of Section 8.2(b)) in the aggregate in excess of the Parent Termination Fee, plus any Reimbursement Obligations and any Enforcement Expenses (subject to the Expense Cap).

• The parties acknowledge and agree that: (i) the right to receive the Company Termination Fee and/or the Parent Termination Fee under this Agreement shall not limit or otherwise affect any party’s right to specific performance as provided in Section 9.10 and (ii) in no event shall the Company be obligated to pay the Company Termination Fee, or Parent the Parent Termination Fee, on more than one occasion.

• The Parties acknowledge and agree that, while the Company may pursue a grant of specific performance in accordance with Section 9.8 and payment of the Parent Termination Fee, in no event shall the Company be entitled to obtain both (x) a grant of specific performance pursuant to Section 9.8 that results in the Closing occurring and (y) payment of the Parent Termination Fee in accordance with this Section 8.3(c) or monetary damages of any kind.
