Presenting Agent definition

Presenting Agent has the meaning set forth in Section 2.03.
Presenting Agent s commission (to be paid in the form of a discount from the proceeds remitted to the Issuer upon settlement). The original issue date of, and the settlement date for, Notes will be the same. Before accepting any offer to purchase Notes to be settled in less than three days, the Issuer shall verify that the Trustee will have adequate time to prepare and authenticate the Notes. After receiving the details for each offer from the Presenting Agent, the Issuer will, after recording the details and any necessary calculations, communicate the Purchase Information by telephone, facsimile transmission or other acceptable means, to the Trustee. Prior to preparing the Notes for delivery, the Trustee will confirm the Purchase Information by telephone with the Presenting Agent. The Trustee will assign to and enter on each Note a transaction number. Special provisions relating to Certificate Notes denominated or payable in a currency, currencies, a currency unit or currency units other than U.S. dollars may be agreed by the Issuer and the Agents at a later time.
Presenting Agent means, as the context in which it is used requires, either an Agent, acting as agent for the Company in soliciting purchases of the Notes, or an Agent, acting as principal in purchasing Notes from the Company pursuant to a Terms Agreement. Administrative procedures under the Agreement and specific terms of the offering of the Notes thereunder are set forth below. General procedures relating to the issuance of all Notes are set forth in Part I hereof. Additionally, Notes issued in book-entry form will be issued in accordance with the administrative procedures set forth in Part II hereof and Notes issued in certificated form will be issued in accordance with the administrative procedures set forth in Part III hereof. Capitalized terms used herein that are not otherwise defined shall have the meanings ascribed thereto in the Agreement, the Indenture or the Notes (which in the case of Notes issued in book-entry form shall be the related Book-Entry Note), as the case may be.

Examples of Presenting Agent in a sentence

  • In each instance that a Pricing Supplement is prepared, the Presenting Agent will affix the Pricing Supplement to Prospectuses prior to their use.

  • The Company will assign a CUSIP number to the Book-Entry Note representing such Note and then advise the Trustee by electronic transmission of the above settlement information received from the Presenting Agent, such CUSIP number and the name of the Agent.

  • If notice of a change in the terms of the Book-Entry Notes is received by the Agents between the time an order for a Book-Entry Note is placed and the time written confirmation thereof is sent by the Presenting Agent to a customer or his agent, such confirmation shall be accompanied by a Prospectus and Pricing Supplement setting forth the terms in effect when the order was placed.

  • The Presenting Agent will cause a Prospectus and Pricing Supplement to be delivered to the purchaser of such Book-Entry Note.

  • For each order to purchase a Book-Entry Note solicited by any Agent and accepted by or on behalf of the Company, the Presenting Agent will issue a confirmation to the purchaser, with a copy to the Company, setting forth the details set forth above and delivery and payment instructions.

  • The Presenting Agent will enter an SDFS deliver order through DTC's Participant Terminal System instructing DTC (i) to debit such Note to the Presenting Agent's participant account and credit such Note to the participant account of the Participants maintained by DTC and (ii) to debit the settlement accounts of such Participants and credit the settlement account of the Presenting Agent maintained by DTC, in an amount equal to the initial public offering price of such Note.

  • Subject to "Suspension of Solicitation; Amendment or Supplement" above, the Presenting Agent will deliver a Prospectus and Pricing Supplement as herein described with respect to each Book-Entry Note sold by it.

  • Upon determination that the Note has been authorized, delivered and completed as aforementioned, the Presenting Agent will wire the net proceeds of the Note after deduction of its applicable commission to the Company pursuant to standard wire instructions given by the Company.

  • For each order to purchase a Certificated Note solicited by any Agent and accepted by or on behalf of the Company, the Presenting Agent will issue a confirmation to the purchaser, with a copy to the Company, setting forth the details set forth above and delivery and payment instructions.

  • Upon delivery of a Certificated Note to the Presenting Agent, Verification by the Presenting Agent and the giving of instructions for payment, the Presenting Agent shall promptly deliver such Note to the purchaser.

Related to Presenting Agent

  • Presenting bank means a bank presenting an item except a payor bank.

  • Issuing Agent means Pareto Securities AB, or another party replacing it, as Issuing Agent, in accordance with these Terms and Conditions.

  • Balloting Agent means Kurtzman Carson Consultants LLC, in its capacity as notice and balloting agent for the Debtors.

  • Transfer Agent and Registrar shall have the meaning set forth in Section 2.5(e) hereof.

  • Voting Agent means Logan & Company, Inc.

  • Clearing Agent means Clearstream Banking AG, Euroclear Bank S.A., and Clearstream Banking S.A. and such further or alternative clearing agent(s) or clearance system(s) as may be approved by the Issuer from time to time and notified to the Holders in accordance with General Condition 4 (each a “Clearing Agent” and together the “Clearing Agents”);

  • Sub-Agent means Citibank International plc.

  • Certificate Registrar means the register mentioned and the registrar appointed pursuant to Section 3.4.

  • Securities Registrar have the respective meanings specified in Section 3.5.

  • Conversion Agent shall have the meaning specified in Section 4.02.

  • Warrant Agent means the Transfer Agent and any successor warrant agent of the Company.

  • Authenticating Agent means any Person authorized by the Trustee pursuant to Section 614 to act on behalf of the Trustee to authenticate Securities of one or more series.

  • Note Registrar shall have the meaning specified in Section 2.05(a).

  • Funding Agent or "agents" means an investment firm, trust bank, or other financial

  • Existing Agent has the meaning assigned to such term in the recitals hereto.

  • Authenticating Agents As defined in Section 9.10.

  • Trust Agent means U.S. Bank, as Trust Agent under the Titling Trust Agreement.

  • Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.

  • Verification Agent As defined in Section 3.28.

  • Debenture Trustee means The Bank of New York, as trustee under the Indenture until a successor is appointed thereunder, and thereafter means such successor trustee.

  • Issuing Entity Request means a written order or request signed in the name of the Issuing Entity by any one of its Authorized Officers and delivered to the Indenture Trustee.

  • Authentication Agent means a Person designated by the Trustee to authenticate Notes on behalf of the Trustee.

  • Corporate Trust Office of the Trustee shall be at the address of the Trustee specified in Section 12.02 hereof or such other address as to which the Trustee may give notice to the Company.

  • Verified Note Owner means a Note Owner that has provided the Indenture Trustee or the Servicer, as applicable, with each of (i) a written certification that it is a beneficial owner of a specified principal amount of Outstanding Notes and (ii) a trade confirmation, an account statement, a letter from a broker or dealer or other similar document showing that such Note Owner is a beneficial owner of such principal amount of Outstanding Notes.

  • Filing Agent is defined in Section 5.1.13.
