PURCHASE RATE means, the tendered rate offered by tenderer per standard bag which has been accepted by the Federation;

PURCHASE RATE means the number of shares of Common Stock issuable upon purchase of a Purchase Amount as determined in accordance with the following formula: Purchase Amount divided by the Purchase Price.
