Retention Notes definition

Retention Notes means each of the Original Retention Notes and the Refinancing Retention Notes.
Retention Notes means the Subordinated Notes acquired on the Issue Date and held on an ongoing basis by the Collateral Manager representing at least five (5) per cent. of the Collateral Principal Amount.
Retention Notes means the Notes of each Class subscribed for by the Investment Manager on the Refinancing Date (and, in respect of the Class F Notes and the Subordinated Notes only, the Original Closing Date) and comprising not less than 5 per cent. of the nominal value of each Class of Notes.  The definition ofSecured Partyis deleted and replaced with the following:

  • An event which occurs if at any time the Retention Holder (a) sells, xxxxxx or otherwise mitigates its credit risk under or associated with the E.U. Retention Notes or the underlying portfolio of Collateral Obligations, except to the extent permitted (i) under the E.U. Risk Retention Letter or (ii) otherwise in accordance with the E.U. Retention Requirements or (b) materially breaches the terms of the E.U. Risk Retention Letter.

Retention Notes means each of the Original Retention Notes and the Refinancing Retention Notes. The definition ofTransaction Documents” is replaced with the following:
Retention Notes means the Notes of each Class subscribed for by the Portfolio Manager (i) on the Refinancing Date in respect of the Refinancing Notes (the “Refinancing Retention Notes”), and (ii) on the Original Issue Date in respect of the other Notes, in each case comprising not less than 5 per cent. of the nominal value of each Class of Notes.
Retention Notes means, the Subordinated Notes held and retained by the Retention Holder in accordance with the Retention Requirement.
Retention Notes means the Notes subscribed for by the Retention Holder on a consolidated basis on the Issue Date and comprising, as at the Issue Date, at least 5 per cent of the nominal value of each of the tranches sold or transferred to the investors within the meaning of Article 6(1) of the UK Securitisation Regulation.
Retention Notes means (i) the Class D Notes, Class E Notes, Class F Notes and Subordinated Notes subscribed for by the Retention Holder on the Closing Date and comprising as at the Closing Date, 5 per cent of the nominal value of each such Class and (ii) the Class A Notes, Class B Notes and Class C Notes subscribed for by the Retention Holder on the Refinancing Closing Date and comprising as at the Refinancing Closing Date, 5 per cent of the nominal value of each such Class.
