Spinco Common Shares definition

Spinco Common Shares means the common shares in the authorized share structure of Spinco;

Spinco Common Shares shall have the meaning set forth in the recitals hereto.

• As soon as practicable after the Effective Date, Spinco will cause the Transfer Agent to deliver share certificates representing in the aggregate the Spinco Common Shares to the holders of the Common Shares following the Arrangement.

• In the event that a Chemesis Shareholder would otherwise be entitled to a fractional Spinco Common Share hereunder, the number of Spinco Common Shares issued to such Chemesis Shareholder shall, without any additional compensation, be rounded down to the next lesser whole number of Spinco Common Shares.

• As soon as practicable following the Effective Date, Spinco will forward or cause to be forwarded by the Transfer Agent or otherwise, by registered mail (postage prepaid) or hand delivery to Chemesis Shareholders as of the Effective Date at the address specified in the register of Chemesis Shareholders, certificates representing the number of Spinco Common Shares to be delivered to such Chemesis Shareholders under the Arrangement.

• On such date, the aggregate New Common Shares and Spinco Common Shares to which the former Shareholder referred to in the preceding sentence was ultimately entitled shall be deemed to have been surrendered for no consideration to Almadex, and shall be returned to Almadex by Computershare.

• In connection with the Spinco Share Exchange, the aggregate amount to be added by Spinco to the stated capital of the Spinco Common Shares will be an amount equal to the aggregate stated capital of the LCL Spin-off Butterfly Shares so transferred to Spinco.

REPRESENTATIONS AND WARRANTIES 2.1 Representations and Warranties of Spearmint Spearmint represents and warrants to and in favour of Spinco as follows:
