Statements of Work definition

Statements of Work means the statements of work referenced in the Proposal.

Statements of Work mean the statements of work between the Parties attached to this Third Amendment in Appendix B entitled [***] and any additional statements of work agreed to by Merck and Moderna related to the RSV Collaboration mRNA Construct identified in the Amended RSV R&D Plan.

• Until the acceptance in writing by both Parties of the proposed Statement of Work, Provider shall have no obligation to perform the proposed Services, provided that this Agreement shall remain in full force and effect in accordance with Section 8.1. The Parties may from time to time enter into additional Statements of Work.

• Each Statement of Work, regardless of whether it relates to the same subject matter as any previously executed Statement(s) of Work, shall become effective upon execution by authorised representatives of both Parties.

• Notwithstanding the foregoing, either party may assign this Agreement in its entirety (including all Order Forms and Statements of Work), without the consent of the other party, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets not involving a direct competitor of the other party.

• Customer’s Affiliates may purchase and use Subscriptions and Professional Services subject to the terms of this Agreement by executing Order Forms or Statements of Work hereunder that incorporate by reference the terms of this Agreement, and in each such case, all references in this Agreement to Customer shall be deemed to refer to such Customer’s Affiliate for purposes of such Order Form or SOW.

• Thereafter the Agreement shall automatically renew for successive terms of one (1) year each unless either Party provides written notice of nonrenewal to the other party at least sixty (60) days prior to the end of the then-current term, provided that the Agreement shall remain in effect until the completion of any outstanding Statements of Work.

More Definitions of Statements of Work

Statements of Work means the statement of work or other document(s) proposal(s) or quotation(s) which either alone or together contain Buyer's requirements, specifications, and / or expected service levels which is either issued by Buyer or expressly agreed in writing by Buyer in relation to the Services and referred to on the Purchase Order; and

Statements of Work means the mutually agreed internal documents that set forth the Services in respect of the Functional Service Areas that are identified in Schedule A-1 or Schedule A-2, as applicable.

Statements of Work means the initial statement of work set forth in Exhibit B to this Agreement, and any additional, sequentially numbered statement(s) of work that may be executed by the parties, and any amendments thereto. Each Statement of Work will describe the Deliverables and Services to be provided by Vendor and the fixed compensation amounts and final delivery dates associated therewith. Each Statement of Work is incorporated into this Agreement by this reference as if fully set forth in this Agreement.

Statements of Work means written work orders which contain terms including but not limited to requirements and specifications, delivery and performance schedules, fees and expenses, Deliverables, and Parties’ technical points of contact for Services on an ongoing basis. Upon mutual, written acceptance of a work order by Parties, such work order will be a “Statement of Work” or “SOW”.

Statements of Work means the documents substantially in the format contained in Exhibit 1(h) which are mutually agreed upon by the parties describing the detailed obligations of the parties with respect to a Project.

Statements of Work means the attached Exhibits A and B, including any modifications made thereto pursuant to Section 14(b).

Statements of Work means written description of the professional services, custom development and service requests for new Services, pursuant to the terms and conditions of the Services Agreement.
