The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage at least equal to the aggregate Subscription Amount.
The representations and warranties made by the Subscriber in this Subscription Agreement shall survive the closing of the transactions contemplated hereby and any investigation made by the Fund.
All information which the Subscriber has provided to the Fund is correct and complete as of the date hereof, and the Subscriber agrees to notify the Fund immediately if any representation or warranty contained in this Subscription Agreement, including any information provided pursuant to the schedules hereto, becomes untrue prior to Closing.
The Subscriber acknowledges that the dealer disclosed on page 2 of this Subscription Agreement acted as the agent of the Fund in connection with the sale of the Units to the Subscriber.
The Subscriber and the Fund each intend that this Subscription Agreement when accepted will constitute valid and legally binding agreements of the Subscriber and the Fund.
