Without Good Reason definition

Without Good Reason means termination of Executive’s employment by Executive other than For Good Reason pursuant to SECTION 3.2(b) below.

Without Good Reason shall have the meaning set forth in Section 4.5 herein.

Without Good Reason means termination of the Executive's employment by the Executive other than termination for Employer Breach or resulting from the death of Executive.

• If the Employee's employment is terminated by the Employer For Cause or by the Employee Without Good Reason during the Employment Period, the Employer shall provide to the Employee the Accrued Obligations, and shall have no other severance obligations under this agreement.

• Without limiting the meaning of the term “Without Good Reason,” it shall constitute termination of employment Without Good Reason if Executive refuses to work under a renewal of this Agreement or if the Executive refuses to sign a successor agreement for an additional term of two years, provided that such successor agreement does not reduce Executive’s then current base salary or short- or long-term incentive targets.

• Except in situations where the employment of the Employee is terminated at any time (i) by the Company For Cause (as defined in Section 5.1 below), (ii) By Death or By Prolonged Absence (as defined in Sections 5.3 and 5.4 below) or (iii) by the Employee Without Good Reason (as defined in Section 5.2 below), the Employee will be eligible to receive severance.

• Payment if Termination Occurs for Cause or Voluntarily by you Without Good Reason.

• A resignation of the Executive’s employment for any reason other than Good Reason will be deemed to be a resignation “Without Good Reason.” The Executive may terminate his employment at any time Without Good Reason, upon thirty (30) days prior written notice to the Company, provided however, the Company may accelerate the date of such termination to any date following the receipt of such written notice.

More Definitions of Without Good Reason

Without Good Reason means any reason other than that defined in this Agreement as constituting Good Reason.
