Xxxxxxxx Entities definition

Xxxxxxxx Entities means collectively (a) Xxxxxxxx Holdings, LLC, a Delaware limited liability company and a wholly owned subsidiary of the Borrower, and (b) each of its domestic subsidiaries, including Xxxxxxxx, Inc., a Delaware corporation, which own the intellectual property related to the Borrower’s business and operations.

Xxxxxxxx Entities means Xxxxxxxx and any entity that directly, or indirectly through one or more intermediaries, controls, is controlled by or is under common control with Xxxxxxxx, including without limitation, WNGL, XXX and the Old GP.

Xxxxxxxx Entities means Xxxxxxxx and any Person that is a direct or indirect Subsidiary of Xxxxxxxx.

• Notwithstanding the foregoing, in no event shall the Xxxxxxxx Entities be entitled to withhold any amounts other than those portions of the applicable payment that are in dispute.

• The sale and issuance of the Subordinated Units to P66 Company, and the General Partner Units and the IDRs to the General Partner are exempt from the registration requirements of the Securities Act and the rules and regulations and the securities laws of any state having jurisdiction with respect thereto, and none of the Xxxxxxxx Entities has taken or will take any action that would cause the loss of such exemption.

Xxxxxxxx Entities means, collectively, (i) CIC and (ii) Corner Investment Holdings, LLC and Corner Investment Propco, LLC, each a Delaware limited liability company.

Xxxxxxxx Entities means (a) Xxxxxxxx and its employees, agents, or officers, (b) each of its present and future, direct and indirect, parents, joint ventures, subsidiaries, partners, and affiliates, solely in their capacities as such, (c) each of its past, direct and indirect, parents, joint ventures, subsidiaries, partners, and affiliates, but only if a person or entity described in (a) or (b) above has the power or authority to act on such entity’s or person’s behalf, (cl) any person or entity asserting entitlement to insurance, rights, or benefits under any of the Policies, including any insured, additional insured, named insured, additional named insured, or protected person, but only if an entity or person described in (a) or (b) above has the power or authority to act on such entity or person's behalf, (e) the past, present, and future trustees, administrators, officers, directors, employees, agents, representatives, members, principals, and attorneys of any of the foregoing, but only in their capacities as such, and (f) the predecessors, successors, assigns, heirs, administrators, or executors of any of the foregoing, but solely in their capacities as such.
