To use Law Insider’s “Pro” hosted platform for contracts (the “Law Insider Private Platform”), you must accept (1) the Law Insider Terms of Service and (2) these Additional Terms of Service (the “Additional Terms”). Please read each of these documents carefully. Together, these documents are known as the “Terms”. They establish what you can expect from us as you use our Services and what we expect from you. Any capitalized terms used herein but not defined shall have the meaning set forth in the Terms.
Although it’s not a part of these Additional Terms, we encourage you to read our Privacy Policy to better understand how you can update, manage, access, and delete your information.
By using the Law Insider Private Platform you are fully accepting the terms, conditions and disclaimers contained in the Terms.
The Law Insider Private Platform forms part of the Services and allows you to upload, submit, store, and transmit documents, files and other content, which are all considered Your User Generated Content. As described in the Law Insider Terms of Service, your content remains yours and we do not claim ownership in any of your content, including any text, data, information, and files that you upload, share, or store in your account.
The Law Insider Private Platform also allows you to collaborate on the content of other users of the Law Insider Private Platform. The “owner” of the content is the one who controls the content and its use.
We collect information related to how you use the Law Insider Private Platform, including actions you take in your account (like sharing, editing, viewing, creating and moving files or folders) (the “Customer Data”). We use this information to provide, improve, and promote our services, and protect Law Insider users. Law Insider may analyze Customer Data to create one or more de-identified and aggregated data sets that do not individually identify you or enable anyone to identify you based on the information (collectively, the “De-identified Data”). Law Insider retains ownership of all right, title, and interest in and to De-identified Data. Law Insider may use De-identified Data for our lawful business purposes, including to improve, market, provide, and enhance the Law Insider Private Platform and for other development, diagnostic, and corrective purposes in connection with the Law Insider Private Platform and any other Law Insider offerings. Law Insider may disclose De-identified Data solely in aggregate form in connection with our business. “Usage Data” means any content, data, or information that is collected or produced by the Contract Management Platform in connection with the use of such services that does not identify you, and may include, but is not limited to, usage patterns, traffic logs and user conduct associated with the services. Law Insider retains ownership of all right, title, and interest in and to Usage Data. Law Insider may use Usage Data in connection with Law Insider’s rights and obligations under these Terms and to operate, improve, analyze, and support the Law Insider Private Platform for benchmarking and reporting, and for any other lawful business purposes.
Sharing settings in Law Insider Private Platform allow you to control what others can do with your content in Law Insider Private Platform. You can adjust the privacy settings of your files to limit what content other can access in your account. Files in your individual folder are private, until you decide to share them. You can share your content and can transfer control of your content to other users. Files you create or place in folders shared by others will inherit the sharing settings and may inherit the ownership settings of the folder they are in. We will not share your files and data with others except as described in our Privacy Policy.
Notwithstanding the license rights to your content granted to us under the Law Insider Terms of Service, we will not use your content that you upload to Law Insider Private Platform for marketing or promotional campaigns.
We sometimes release products and features that we’re still testing and evaluating (“Beta Services”). Beta Services are labeled “alpha”, “beta”, “preview”, “early access”, or “evaluation” (or with words or phrases with similar meanings) and may not be as reliable as Law Insider’s other services. Beta Services are made available so that we can collect user feedback, and by using our Beta Services, you agree that we may contact you to collect such feedback.
Beta Services are confidential until official launch. If you use any Beta Services, you agree not to disclose any information about those Beta Services to anyone else without our permission. Beta Services are intended for your internal evaluation purposes only and we do not provide any warranties, indemnities, support, or have any other liability with respect to Beta Services.
We may review content to determine whether it is illegal or violates these Terms, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don’t assume that we do. You are solely responsible for (and will release, indemnify and hold harmless Law Insider from) any content that you upload, transmit, submit, or store in connection with the Law Insider Private Platform.
