1-2. "Agreed Price List" shall mean the price list for the Licensed Products developed by the Licensor and agreed to by the Licensee in accordance with Section 2-3 of this Agreement. accordance with the terms of Termination set forth in this Agreement or if either party, not less than ninety )90) days, prior to expiration of the then in effect term, gives the other a notice of its decision not to renew. 2-4 Exclusivity. 2-5 Limitations on License. No License or permission is granted for the use of Licensed Materials other than in connection with the sale of Licensed Products in the Territory pursuant to the terms hereof. As between the parties, all such rights are reserved to and the sole and exclusive property of Licensor. Any use or license by Licensor of such reserved rights, in any manner whatsoever, shall not be deemed unfair competition with or interference with, breach of or infringement of any of Licensee's right hereunder. 2-6 Manufacture of Licensed Products. The Licensed Products may not be manufactured by anyone other than the Licensee. This Agreement is personal to the Licensee who shall not subcontract any portion of the manufacture of Licensed Products to a third party without the prior express written consent of Licensor, which may be withheld for any reason whatsoever, Licensee acknowledges that it will acquire no rights to the Licensed Products as a result of its manufacturing activities or otherwise. The Licensed Products may be manufactured outside the Territory only so long as they are sold within the Territory. 3-2 Statements and Payments. unit and total sales for each Licensed Product in each country of the Territory. The statements shall be made in each form as prescribed by Licensor or on such other form as is approved in writing by Licensor. Statements under this paragraph must be provided to Licensor irrespective of whether sales have been made or any Royalties are due for any particular month. All payments shall be in the form of a check made payable to ×××× Inc. and sent to the address designated in paragraph 14- 3 below (or to such other address as requested by Licensor). 3-3 Currency of Payment. 4. Books and Records Audits تلاجسلاو رتافدلا ةعجارم :)4( ةدام

4-1 Books and Records. Agreement in such manner as will allow an accountant to review the same in accordance with generally accepted accounting principles. Licensor and its duly authorized representatives have the right, for the duration of this Agreement and for three (3) years thereafter, during regular business hours and upon seven (7) days advance notice (unless a shorter period is appropriate in the circumstances) , to audit such books of account and records and examine all other documents and material in the possession or under the control of Licensee with respect to the subject and the terms of this Agreement, and may copy all such materials, including, without limitation, invoices, credits and shipping documents. 4-2 Audit. If as a result of Licensee's books and records, it is shown that the Licensee's payments were less than the amount which should have been paid with respect to sales occurring during the period in question, licensee shall make all payments required to be made to eliminate any discrepancy revealed by said audit plus the interest provided for in paragraph 3-2 within fifteen (15) days after Licensor's demand therefor. 5-1 Compliance with Law. The manufacturing facilities utilized by Licensee and all manufacturing procedures employed by Licensee shall be in Compliance with applicable laws, rules and regulations. 5-2 Supervision & Quality Control Licensee agrees that Licensed Products shall be of high standard and quality, in accordance with established industry standards; that the policy of promotion, advertising, sale, distribution and/or exploitation by Licensee shall be at least as high as the standard used by Licensee with its other products; that the policy of promotion, advertising, sale, distribution and/or exploitation by Licensee shall not reflect adversely upon the good name of licensor or the Licensed Products; and that Licensee shall maintain a vigorous quality control and safety assurance program with respect to the Licensed Products. Licensee recognize that all right, title and interest in and to the Licensed Materials, including but not limited to all copyrights, patents and trademarks pertaining thereto and all other materials created in connection with the Licensed Products are owned exclusively by Licensor, and Licensee covenants and agrees that it shall have no interest in or claim thereto, except to the limited extent to use the same pursuant to this Agreement and subject to its terms and conditions. 6-2 Rights upon Expiration or Termination. Upon expiration or Termination of this Agreement, all the rights granted hereunder to Licensee shall automatically revert to Licensor. All Licensed Products made and sold by Licensee hereunder, including without limitation Product Materials and Advertising Materials and/or any other item hereof that utilize the Licensed Products shall bear the copyright, patent, and trademark notices and legends set forth in schedule D to this Agreement, or such other notices as are provided to Licensee in writing. The notices and legend shall be of sufficient size, form, legibility, location and permanency to comply with the laws and common practices in the United States and in the Territory in order to protect such right. shall obtain Licensor's written approval regarding the desired size and placement of each notice and legend on the Licensed Products, Product Materials and Advertising Materials pursuant to the procedures set forth in paragraph 5-3 of this Licensed Agreement hereof. Prior to the distribution of any Licensed Products, Licensee shall provide the Licensor with ten (10) samples of each label, hang tag, packaging or wrapping material used for each Licensed Article, for use as registration deposits or specimens. 10-3 Assignment by Trustee in bankruptcy. Notwithstanding the provisions of paragraph 10-2 above, in the event that, pursuant to any applicable bankruptcy Code ("the Code"), a trustee in bankruptcy of Licensee, as debtor, is permitted to assume this Agreement and does so and, thereafter, desires to assign this Agreement to a third party, which assignment satisfies the requirement of the Code, the trustee or Licensee, as the case may be, shall notify Licensor of the same in writing. Said notice shall set the name and address of the proposed assignee, the proposed consideration for the assignment and all other relevant details thereof. The giving of such notice shall be deemed to constitute the grant to Licensor of an option to have this Agreement assigned to it or to its designee for such consideration, or its equivalent in money, and upon such terms as are specified in the notice. Licensee, as the case may be, by Licensor within fifteen (15) days after Licensor's receipt of the notice from such party, or within such shorter period as may be deemed appropriate by the court in bankruptcy proceeding. If Licensor fails to give its notice to such party within the said exercise period, such party may complete the assignment referred to in its notice, but only if such assignment is to the entity named in said notice and for the consideration and upon the terms specified therein and all defaults hereunder, if any, are cured. 10-4 Events upon Termination. portion of the Licensee's existing inventory of Licensed Products for the lower of its Cost of Goods or market value and to fulfill Licensee's orders in hand (and Licensee shall not share in gross profit from such fulfillment or receive any other consideration or benefit). 10-6 Events Upon expiration Upon the expiration of the Term of this Agreement, Licensee shall, within fifteen (15) days of the date of expiration, send Licensor a detailed inventory list specifying Licensee's inventory of completed Licensed Products as well as work in progress and orders in hand. Licensor shall have the option, but shall not be obligated, to purchase all or any portion of licensee's existing inventory of Licensed Products for the lower of its then wholesale price or its market value. Licensor agrees that it will determine whether to exercise its option as set forth in this paragraph 10-6 within twenty (20) days of its receipt of the inventory list. 10-7 Reversion of Rights Upon expiration or prior termination of the Term, all rights granted hereunder to Licensee shall automatically revert to Licensor. 10-8 Failure to Cease Sales of Licensed Products Licensee acknowledges and agrees that its failure to cease the manufacture sale, distribution, advertising, promotion or other use of Licensed Products, Licensed Materials, Product Materials and/or Advertising Materials, as required upon a termination or expiration of this Agreement or by its use of the Licensed Products in violation of this Agreement shall cause immediate irreparable harm to Licensor and that there is no adequate remedy at law for such failures. 11-2 Notice of Claim If Licensor makes a claim for indemnification hereunder based upon a claim asserted by a third party, the Licensee shall be given prompt notice thereof in reasonable detail; provided, however, the failure to give prompt notice shall not relieve the Licensee of any liability hereunder , except to the extent the licensee is prejudiced by such failure. Licensee shall have the right (without prejudice to the right of Licensor to be indemnified to participate at its expense through counsel of its own choosing) to defend such claim at its expense and through counsel of its own choosing which is reasonably acceptable to licensor if the licensee gives notice of its intention to do so not later than twenty (20) days following its receipt of notice of such claim from Licensor (or such shorter time period as is required so that the interests of Licensor would not be materially prejudiced as a result of its failure to have received such notice from the Licensee); provided, however, that if the defendants in any action shall include both the Licensee and Licensor and Licensor shall have reasonably concluded that counsel selected by the Licensee has a conflict of interest because of the availability of different or additional defenses to licensor, the licensee shall have the right to select separate counsel to participate in the defense of such action on its behalf, at the expense of the indemnifying party. payment of such money. If the Licensee does not so choose to defend any such claim asserted by a third party for which licensor would be entitled to indemnification hereunder, then Licensor shall be entitled to recover from Licensee, on a monthly basis, all of its reasonable attorneys' fees and other costs and expenses of litigation of any nature whatsoever incurred in the defense of such claim. If the Licensee assumes the defense of any such claim, the Licensee will hold Licensor harmless from and against any and all damages arising out of any settlement approved by the Licensee or any judgment in connection with such claim or litigation. Notwithstanding the assumption of the defense of any claim by the licensee pursuant to this paragraph, Licensor shall have the right to approve the terms of any settlement of a claim (which approval shall not be unreasonably withheld or delayed). 11-3 Cooperation The Licensee and Licensor shall cooperate in furnishing evidence and testimony in any other manner which the other may reasonably request, and shall in all other respects have an obligation of good faith dealing, one to the other, so as not to unreasonably expose the other to an undue risk of loss. 13. Insurance

نيمأتلا .13

Licensee agrees to maintain, at its own expense, a comprehensive general liability insurance policy, including products liability and personal liability, with a limit on liability of not less than the amount specified in schedule E to this Agreement and with a deductible of not grater than the amount also specified in Schedule E. Licensee shall cause (i) Licensor and its affiliates to be named as additional insurers on such policy and (ii) such policy must provide that it may only be canceled after Licensor has received thirty (30) days prior written notice of cancellation. Within ten (10) days after the execution of this Agreement, Licensee shall send Licensor a policy endorsement or acceptable certificate of Insurance with respect to such policy.

This Agreement shall be construed and interpreted in accordance with the laws of the state of New York and where appropriate the trademark, patent and copyright laws of the United States. The parties hereto agree that the courts of the Stat of New York and the Federal courts situated in New York County shall be the exclusive forum for the resolution of any and all disputes, controversies and claims by or between the parties covering any matter or thing arising under or related to this Agreement, whether based in tort or contract, including, without limitation, any separate action in the nature of a set-off or counterclaim. The parties hereto each consent to the personal jurisdiction by said courts over such parties, hereby expressly waive, in the case of any such action, any defenses thereto based on jurisdiction, venue and/or forum non convenience, and hereby agree that service of any process or papers in such proceeding may be effected in accordance with paragraph 14-3 hereof.

14-3 Notice Any notice required under the terms of this Agreement shall be in writing and sent by certified mail, return receipt requested. Notice shall be deemed to be given upon receipt.
