واعتباراً لما تقدم، وللتعهدات المشتركة
بين الاطراف فقد اتفق الطرفان على ما

التمهيد السابق والجداول المرفقة بالعقد
جزءاً لا يتجزأ من أحكام هذا العقد.
المادة
(2)
مدة
تنفيذ العقد
يسري
هذا العقد من تاريخ التوقيع عليه ويستمر
لمدة ........
سنة/سنوات،
ويلتزم الطرف الثاني بأداء أعمال الصيانة
خلال المواعيد المحددة في العقد ما لم
يتم إنهاؤه من قبل الطرف الاول.
المادة
(3)
نطاق
ومستوى الأعمال
1-
يقوم
الطرف الثاني بتقديم أعمال الصيانة
المشار إليها أعلاه في البند التمهيدي
والمفصلة في الجدول رقم
(1)
أو
التي يمكن استنتاجها ضمناً بمهارة
وجودة وعناية من أحكام هذا الاتفاق
على الوجه الأكمل طوال مدة العقد ووفقاً
لأفضل الممارسات المطبقة عالمياً في
المجال ذا الصلة.
2-
يكون
الطرف الثاني مُلزماً، في تنفيذ نطاق
الأعمال المتفق عليها بموجب هذا العقد،
بمراعاة كافة المواصفات والمعايير
الخاصة بدولة قطر وبما يضمن استيفاء
الغرض من تلك الأعمال على نحو معقول
وضمن القيمة المتفق عليها للعقد.
المادة
(4)
قيمة
العقد
يلتزم
الطرف الاول بدفع مبلغ اجمالي وقدره
(............)
ريال
قطري إلى الطرف الثاني، وذلك مقابل
إنجاز جميع أعمال الصيانة محل العقد
وطوال مدته.
يلتزم
الطرف الأول بأن يدفع للطرف الثاني
قيمة أعمال الصيانة محل العقد بحسب
نظام الدفع المُطبق لديه وبحسب شروط
الدفع المفصلة في الجدول (2).
يكون
المبلغ الإجمالي للعقد شاملاً لجميع
الرسوم والنفقات اللازمة
لإنجاز أعمال الصيانة محل العقد ولا
يكون الطرف الاول مُلزماً بدفع أية
مبالغ إضافية.
المادة
(5)
التغييرات
والاضافة
يجوز
للطرف الأول، بناء على توصية اللجنة،
وفقاࣧ لمقتضيات المصلحة العامة، تعديل
كميات أو حجم العقود المبرمة،
وفقاً
للضوابط الواردة في قانون تنظيم المناقصات
والمزايدات ولائحته التنفيذية، بالزيادة
والنقصان، بذات
الشروط والأسعار بنسبة
لا تزيد على (20%)
من
قيمة العقد
أو مدته، دون أن يكون للمتعاقد الحق في
المطالبة بأي تعويض عن ذلك.
المادة
(6)
التأمين
النهائي
يلتزم
الطرف الثاني بتزويد الطرف الأول
بالتأمين النهائي، بمبلغ لا يقل عن
(10%)
من
قيمة العقد، والذي يتم ايداعه بموجب
شيك مقبول أو خطاب ضمان مصرفي صادر من
بنك محلي أو معتمد، غير مقترن بأي قيد
أو شرط، صالح للأداء بأكمله، وغير قابل
للرجوع فيه، وأنه ملتزم بأدائه بأكمله
عند أول طلب من الطرف الأول.
ذلك
كضمان لوفائه بالتزاماته بموجب هذا
العقد.
2-تمتد
صلاحية هذا الضمان لمدة (7)
أيام
عمل بعد تنفيذ العقد بصفة نهائية بما
في ذلك فترة الضمان أو الصيانة.
المادة
(7)
التنازل
يلتزم
الطرف الثاني بتنفيذ الاعمال المتعاقد
عليها بنفسه، ولا يجوز له أن يتنازل عن
العقد أو عن المبالغ المستحقة له، كلها
أو بعضها إلى الغير، إلا بعد موافقة
كتابية من رئيس الطرف الأول.
وفي
حالة التنازل عن العقد، يبقى الطرف
الثاني مسؤولاً بطريق التضامن مع
المتنازل إليه عن تنفيذ العقد، كما لا
يخل قبول تنازله عن المبالغ المستحقة
له بما يكون للطرف الأول قبله من حقوق.
المادة
(8)
الاعتماد
على السوق المحلي
مع
عدم الإخلال بالاتفاقيات التي تلتزم
بها الدولة، إذا كان الطرف الثاني شركة
غير قطرية
لتنفيذ
أعمال داخل الدولة،
فإنها تلزم بالاعتماد
على السوق المحلي بنسبة لا تقل عن (30%)
من
القيمة الاجمالية للعقد لتنفيذ التزاماتها
بموجبه.
المادة
(9)
التأمين
ضد الاضرار
يكون
الطرف الثاني مسؤول عن أية اضرار تصيب
عماله أو موظفي الطرف الاول أو الغير
أو الاجهزة والمعدات المستخدمة في
أعمال الصيانة وسائر ممتلكات الطرف
الاول خلال تنفيذ العقد.
يتعهد
الطرف الثاني بإجراء التأمين اللازم
لدى إحدى شركات التأمين الوطنية
أو المعتمدة، على أعمال الصيانة
الواردة في العقد، والتي تستوجب طبيعتها
التأمين عليها، وفقاࣧ لشروط الطرح.
المادة
(10)
الجزاءات
في حالة التأخير
يلتزم
الطرف الثاني بتنفيذ أعمال الصيانة
موضوع العقد خلال المواعيد المحددة،
فإذا تأخر في التنفيذ عن الميعاد المحدد،
جاز للطرف الأول لدواعي المصلحة العامة،
وبناءً على توصية اللجنة، إعطاؤه مهلة
إضافية لإتمام التنفيذ على أن يوقع عليه
غرامة عن مدد التأخير، دون تنبيه أو
إنذار أو إثبات وقوع ضرر، وذلك وفقاً
للنسب والمدد التالية:
غرامة

كل يوم أو جزء من اليوم، بما لا يجاوز
(10%)،
من القيمة الإجمالية للعقد.

كل يوم تأخير وبحد أقصى (10%)
من
قيمة الأعمال التي تأخر الطرف الثاني
في تنفيذها إذا كانت تلك الأعمال غير
مرتبطة بمجمل الأعمال محل العقد.
وفي
جميع الأحوال، يكون توقيع الغرامة دون
تنبيه أو إنذار أو إثبات وقوع ضرر.
ولا
يخل توقيع الغرامة المذكور في البند
(1)
أعلاه،
بحق الطرف الأول في الرجوع على الطرف
الثاني بكامل التعويض المستحق عما أصابه
من أضرار بسبب التأخير في تنفيذ التزاماته.
ويعتبر
العقد سارياً طوال مدة المهلة الإضافية
المنصوص عليها في الفقرة الأولى من هذه
المادة.
المادة
(11)
الإخلال
بالعقد
إذا
أخل الطرف الثاني بأي من التزاماته
التعاقدية، ولم يتدارك أثر ذلك خلال
المدة التي حددها له الطرف الأول، كان
للأخير بعد إنذاره على محل إقامته أو
مركز أعماله أو بأي وسيلة أخرى تفيد
العلم، الحق في اتخاذ أحد الإجرائيين
التاليين وفقاً لما تقتضيه المصلحة
العامة:
فسخ
العقد.
تنفيذ
العقد على حساب الطرف الثاني.
في
جميع الأحوال، يكون الفسخ أو التنفيذ
على الحساب بقرار من الرئيس بناءً على
توصية اللجنة.
المادة
(12)
فسخ
العقد
1.مع
عدم الإخلال بأي من أوجه المسؤولية
المقررة قانوناً، يعتبر العقد مفسوخاً
في أي من الحالتين التاليتين:
إذا
ثبت أن الطرف الثاني استعمل الغش أو
التلاعب في تنفيذ العقد أو في الحصول
عليه.
إذا
ثبت أن الطرف الثاني شرع بنفسه أو بواسطة
غيره بطريق مباشر أو غير مباشر في رشوة
أحد موظفي الدولة أو التواطؤ معه إضراراً
بالطرف الأول.
2.في
جميع حالات فسخ العقد أو تنفيذه على
حساب الطرف الثاني يصبح التأمين النهائي
من حق الطرف الأول الذي يكون له أن يخصم
من مبلغ التأمين النهائي أي مبالغ مستحقة
للطرف الأول لديه أو لدى أي جهة حكومية
أخرى دون الحاجة إلى اتخاذ أية إجراءات
إضافية.
المادة
(13(
إنهاء
العقد
يجوز
للطرف الأول إنهاء العقد في أي من الحالات
التالية:
وفاة
الطرف الثاني حال كون شخصيته محل اعتبار
في العقد.
إفلاس
أو إعسار الطرف الثاني.
انقضاء
الشركة أو المؤسسة المُتعاقدة وفقاً
لأحكام القانون
إذا
اقتضت المصلحة العامة ذلك وبموجب قرار
مسبب من رئيس الطرف الأول، بناءً على
توصية اللجنة.
المادة
(14)
القــــــــوة
القاهـــــــــرة
لا
يعتبر التأخير أو الفشل في تنفيذ العقد
من قبل أي من الطرفين إخلالاً بشروط
العقد إذا كان ذلك بسبب فعل خارج عن
إرادة ذلك الطرف بسبب حدث من أحداث
القوة القاهرة منعته من تنفيذ التزاماته
بموجب العقد.
تعتبر
الأحداث التالية، على سبيل المثال لا
الحصر، من أحداث القوة القاهرة:
الكوارث
الطبيعية، الحروب، الاعمال العدائية،
الثورات، التلوث الاشعاعي، الهجمات
الارهابية.
يجب
على الطرف المتأثر بظرف القوة القاهرة
أن يخطر الطرف الآخر، في أقرب وقت من
الناحية العملية بنشوء ظرف القوة
القاهرة، وعلى الطرف المتأثر، بالرغم
من ذلك، أن يسعى جاهداً إلى الحد الممكن
لتنفيذ التزاماته بموجب هذا العقد.
المادة
(15)
لغة
العقد
حرر
هذا العقد باللغتين العربية والإنجليزية
والتي يجب أن تتم بهما كافة المراسلات
والإخطارات المتعلقة بالعقد، وفي حالة
حدوث أي تناقض بين النصين العربي
والإنجليزي تكون أولوية في التطبيق
للنص المحرر باللغة العربية.
المادة
(16)
المحاكم
المختصة
تختص
المحاكم بدولة قطر دون غيرها بالفصل في
أي نزاع قد ينشأ بين الطرفين بشأن تنفيذ
هذا العقد أو تفسير أي بند من بنوده
وتطبق في شأنه أحكام القانون القطري.

طرفيه المفوضين بالتوقيع وسلمت نسخة
إلى كل منهما للعمل بمقتضاها.

Contract Form
This
Contract is made and entered into in the State of Qatar on the

Preamble
Whereas
the First Party is desirous to Contract with a specialized company
to carry out maintenance works in the Building No. -------------,
Street --------, Area ---------, as explained in detail in
schedule (1) annexed to this Contract ------------, in the State
of Qatar, in accordance with the specifications applicable in the
country.
Whereas
the Second Party has expressed their willingness in carrying out
these maintenance works, and acknowledges that he has the
necessary experience, ability, and owns the financial and
technical competence, as well as the well-trained and qualified
personnel to conduct the work requested by the First Party.
Accordingly, the Second Party has provided his tender to the First
Party on --/--/20--, which fulfilled all technical and financial
requirements stipulated by the First Party, in addition to other
formal procedures. The second party offer has been approved by the
competent Authority, and the Second Party was notified accordingly
by (Letter No. --------, dated -- / -- / 20--); and provided a
Performance Bond in the form of a Bank
Letter of Guarantee or an acceptable Cheque No
(-------------------)
issued by the bank ------------ on
--/--/20-- in the amount of (QAR

Only) for the benefit of the First Party. The Bank Letter
of Guarantee shall be valid for a period of 7 working days after
the final execution of the Contract, including the maintenance
period.
Therefore,
and in consideration to the party's mutual covenants, the two
Parties have agreed on the following:
Article
(1)
The
above Preamble and the Tables annexed to this Contract shall be
considered an integral part of this Contract.
Article
(2)
Duration
of Contract
This
Contract shall enter into force as from the date of its signature
and shall continue for ..........
year/years. The Second Party shall
undertake to perform all the required maintenance
works within the dates specified in this Contract, unless the
Contract is terminated by the First Party.
Article
(3)
Scope
and Level of Work
The
Second Party shall perform the maintenance works mentioned in the
Preamble and detailed in the schedule (1) or works that could
impliedly be inferred reasonably from the provisions of this
contract throughout the duration of the Contract and in
accordance with the industry international best practices.
In
executing the scope of works agreed upon in this Contract, the
Second Party shall comply with all specifications and standards
applied in the State of Qatar to ensure that the purpose of the
execution of works stated in this Contract is reasonably
fulfilled within the value agreed upon under the provisions of
this Contract.
Article
(4)
Contract
Value
The
First Party undertakes to pay a total amount of (------) QAR to
the Second Party, in consideration of performing all
maintenance works subject matter of this Contract, and throughout
the term thereof.
The
First Party undertakes to pay the value of the Contract to the
Second Party in accordance with the First Party payment system
and as per the conditions explained in schedule (2).
The
total value of the Contract shall be inclusive to all fees and
expenditures necessary to carry out the maintenance works subject
matter of this Contract. The First Party shall not be obliged to
pay any additional amounts.
Article
(5)
Variation
Upon
the recommendation of the Committee, and according to the
requirements of the public interest, The
First Party may, amend the
quantities and volume of the concluded contracts
in accordance with the provisions of the
Regulation of Tenders and Auctions Law and its executive
regulation, by increasing or
decreasing
under the same
conditions and prices, with a percentage not
exceeding (20%) of the contract value, or
its duration and the contractor has no right to submit a claim
to the first party, for any compensation therefor.
Article
(6)
Performance
Bond
1-
The Second Party pledges to provide to the First Party a
performance bond, as an amount not less than (10%) of the Contract
value and shall be deposited by an acceptable Cheque or an
acceptable letter of guarantee from a local or approved bank,
which is not associated with any restriction or condition, and is
valid for full payment, and irreversible. The second party
undertakes to pay to the first party an amount equivalent to the
required bond in full, at its First request. The letter shall
serve as Performance Bond to ensure the Second Party’s
compliance with contractual obligations under this Contract.
2-The
Letter of Guarantee shall be valid for a period of (7) seven
working days after the final execution of the Contract, including
period of the warranty or maintenance.
Article
(7)
Assignment
of the Contract
The
Second Party undertakes, to carry out maintenance works subject
matter of this Contract personally and shall
not assign the Contract or amount due to him, in full or in part,
to others, except after the written approval of the Head of the
First Party.
In
case of assignment of the Contract, the Second Party shall remain
jointly responsible with the assignee for its implementation, and
the approval of his waiver of his due amounts shall not prejudice
the rights of the First Party due on him.
Article
(8)
Reliance
on the Local Market
Without
prejudice to the agreements that are binding upon the State, If
the Second Party is a non-Qatari company, to
execute works inside the State, it
shall be under obligation to depend
on the local market at a percentage of not less than (30%) thirty
percent of the total value of the
Contract to execute their obligations thereunder.
Article
(9)
Insurance
Against Damages
The
Second Party shall be held responsible for any damages incurred
to any of their affiliated workers and staff, the staff of the
First Party or third party, and to appliances and equipment used
in maintenance works as well as the entire facilities of the
First Party during the execution of the Contract.
The
Second Party undertakes to take out the necessary insurance, with
any of the national or approved insurance
companies, for the works subject matter of this Contract, if the
nature requires such insurance, according to the conditions of
the proposal.
Article
(10)
Penalties
in case of delay
The
Second Party shall implement the Contract within the specified
dates, and in case of delay in the implementation of the Contract
or a part thereof on the specified date, the First Party, in case
of identifying an interest in that, upon a recommendation of the
Committee, may give an additional time period to the Second Party
to complete the implementation, meanwhile imposing a fine for the
delayed periods, without notice,
warning proof of occurrence of the damage, and in accordance with
the following percentages:
A
(……. %) fine per day or a part thereof, not
exceeding (10%) of the total value of the Contract.
A
(……...%) fine per delayed day not
exceeding (10%) of the value of the services delayed in
implementation by the Second Party, if the First Party estimates
that there is no relation between the contracted works and the
delayed part of implementation.
In
all cases, the imposition of the fine shall be without warning,
notice or proof of occurrence of damage.
Imposing
the fine, as per the provisions of paragraph (1) above, shall not
prejudice the right of the First Party to have recourse on the
Second Party for due full compensation for the damages caused by
the delay.
The
contract shall be valid for all the duration of the additional
period stipulated in the first
paragraph of this Article.
Article
(11)
Breach
of Contractual Obligations
If
the Second Party breaches any of his contractual obligations, and
does not rectify the effect thereof within the period specified by
the First Party, the last may,
after warning him at his place of residence, work center, or by
any other means with receipt of acknowledgment, take any of the
following actions according to requirements of the public
interest:
Revoke
the Contract.
Execute
the Contract at the expense of the Second Party.
In
all cases, the revoking, or the execution at his expense shall be
by a decision from the head of the first party, upon a
recommendation of the Committee.
Article
(12)
Contract
Revocation
1.Without
prejudice to any of the aspects of the legally prescribed
responsibility, This Contract is deemed revoked in either of the
following cases:
If
it is proven that the Second Party has used fraud or manipulation
in the execution of the Contract or in obtaining it.
If
it is proven that the Second Party initiates, directly or
indirectly, by himself or through others, bribery of one of the
State employees or colludes with him to harm the First Party.
0.Xx
either case of Contract revocation or its implementation at the
expense of the Second Party, the Performance Bond shall be the
right of the First Party. The latter shall also have the right to
deduct from the Performance Bond any dues owed to the Second Party
or any other Government Authority, without the need to take any
further action.
Article
(13)
Termination
of Contract
The
First Party may terminate the Contract in any of the following
cases:
Death
of the Contractor when his personality is a subject matter of
consideration in the Contract.
Bankruptcy
or insolvency of the Contractor.
Liquidation
of the contracted company or the institution pursuant to law.
If
public interest so requires upon a reasoned decision from the
Head of the first Party, upon the recommendation of the
Committee.
Article
(14)
Force
Majeure
Failure
or delay in the execution of contractual obligations by either
Party due to extraordinary circumstances beyond their control
because of a force majeure event shall not be considered as a
breach to the provisions of this Contract.
A
force majeure event may include but are not limited to the
following: natural disasters, wars, hostilities, revolutions,
radioactive contamination and terrorist attacks.
The
Party affected by the force majeure event shall notify the other
Party, at the earliest possible convenience, of the occurrence
thereof., This Party shall, nonetheless, endeavor to the maximum
possible extent, to carry out the obligations thereof under this
Contract.
Article
(15)
Governing
Language
This
contract was done in both Arabic and English languages, via which
all correspondence and notification related thereto must take
place, and in the event of any discrepancy between the two
versions, the Arabic one shall prevail.
Article
(16)
Competent
courts
The
competent Qatari courts shall have the unique jurisdiction to
settle any dispute between the two parties arising out of the
application or interpretation of the provisions of this Contract,
in which case the Qatari Law shall be the applicable law.
Article
(17)
Applicable
law
The
provisions of Law No. (24) of 2015 promulgating Tenders and
Auctions Regulations, amended by the law decree n° (18) of 2018,
and its Executive regulation issued by the decision of the Council
of Ministers n° (16) of 2019, shall apply to all that is not
covered in this Contract.
This
Contract was done in two copies and
signed by the authorized signatory Parties,
and each Party has been given
a copy to act accordingly.
