03Assignment. This Agreement shall be binding upon and inure to the benefit of the heirs and legal representatives of Executive and the permitted assigns and successors of the Company, but neither this Agreement nor any rights or obligations hereunder shall be assignable or otherwise subject to hypothecation by Executive (except by will or by operation of the laws of intestate succession) or by the Company, except that the Company may assign this Agreement to any successor (whether by merger, purchase or otherwise), if such successor expressly agrees to assume the obligations of the Company hereunder.
03Assignment. This Agreement shall extend to and be binding upon the parties hereto and their respective successors and assigns; provided, however, that this Agreement shall not be assignable by the Trust without the written consent of the Custodian, or by the Custodian without the written consent of the Trust accompanied by the authorization or approval of the Board of Trustees.
03Assignment. Other than as specifically set forth herein, no Party may assign either this Agreement or any of its rights, interests, or obligations hereunder without the prior written approval of all of the other Parties. Subject to the preceding sentence, this Agreement shall (i) be binding upon the Parties and their respective successors and permitted assigns and (ii) shall inure to the benefit of the Parties and their respective successors and permitted assigns.
03Assignment. The Supplier herewith notifies the Distributor that it has assigned such portion of the Purchase Price that exceeds USD 12 (twelve) ("Assigned Portion") to ▇▇▇▇▇▇ Park ("Assignee") by a deed of assignment dated the date hereof, a copy of which is attached in a Schedule hereto. Unless otherwise instructed by both the Supplier and the Assignee the Distributor shall and will pay the Assigned Portion only in accordance with instructions received from the Assignee.
