105 Shareholder Representative. “Shareholder Representative” shall have the meaning set forth in the introductory paragraph to this Agreement, and any substitute representative selected in accordance with this Agreement, who is authorized to act pursuant to Section 2.8, the Lock Up Agreements and the Lock Up and Retention Agreements as representative of the Holders for purposes of the Registration Statement, indemnification and the Escrow Agreement.
