10Governing Law Sample Clauses

10Governing Law. This Agreement is being executed and delivered in the State of Ohio and shall be governed by, and construed and enforced in accordance with, the laws of the State of Ohio.

10Governing Law. This Agreement shall be governed by and construed in accordance with the internal laws of the State of Florida (i.e., without giving effect to any choice or conflict of law provision or rule (whether of the State of Florida or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Florida). Each of the parties submits to the exclusive jurisdiction of the state and federal courts sitting in Miami-Dade County, Florida, in any proceeding arising out of or relating to this Agreement and agrees that all claims in respect of such proceeding shall be heard and determined in such court. Each of the parties waives any defense of inconvenient forum to the maintenance of any proceeding so brought.
