12Counterparts. This Agreement may be executed in multiple counterparts and by Guarantor and Buyer in separate counterparts, each of which when executed shall be deemed to be an original but all of which taken together shall constitute one and the same agreement. Signed counterparts of this Agreement delivered via facsimile or emailed as portable document format (PDF) attachments shall have the same binding effect as originals; provided that each party hereto uses commercially reasonable efforts to deliver to the other Party hereto original signatures as soon as possible thereafter.
