1A                   Required Public Offering. Notwithstanding anything in this Agreement to the contrary and subject to the requirements of the Qualified Public Offering, the Company shall initiate the procedures for public offering of its Ordinary Shares if so required by (i) a majority of votes of the Ordinary Shares held by the Class A Ordinary Holders, or (ii) a majority of votes of the Preferred Shares held by the Investors. The Company shall not conduct any other public offering other than the Qualified Public Offering, unless consented to by a majority of votes of the Preferred Shares.
