Common use of 1Corporate Existence and Power Clause in Contracts

1Corporate Existence and Power. The Company (a) is a corporation duly organized, validly existing and in good standing under the Law of India; (b) has all requisite power and authority to own and operate its property and to conduct the business in which it is currently, or is proposed to be, engaged; and (c) has the corporate power and authority to execute, deliver and perform its obligations under this Agreement and each of the other Transaction Documents to which it is a party. The Company has supplied the Purchasers with a correct and complete copy of its Organizational Documents, each as in effect on the date hereof.
