1Royalty Interest Right. At the Closing and upon the terms and subject to the conditions of this Agreement, ▇▇▇▇▇ hereby agrees to transfer, assign and convey to Fortress, and Fortress agrees to acquire and accept from Payor, the Royalty Interest Right, free and clear of all Liens (other than Permitted Liens) in accordance with, and representing the right to receive the payments described in, Section 5.2.
