2010 Performance Goals Sample Clauses
2010 Performance Goals. This award of PSUs is performance-based and all or a portion of ___% of the PSUs awarded herein (the “2010 Award Increment”) is subject to forfeiture upon the Company’s failure to attain such performance criteria as shall be established by the Compensation Committee of the Board of Directors of the Company (the “Committee”) for the year ending December 31, 2010(the “2010 Performance Criteria”). The 2010 Performance Criteria shall be provided to Holder as soon as possible after the Committee has set the 2010 Performance Criteria.
2010 Performance Goals. The number of 2010 Performance Share Units earned by Participant shall be determined as of December 31, 2010 (the “Earning Date”), based on the Company’s 2010 Net Sales Growth Performance (net of foreign exchange), 2010 Non-GAAP Diluted EPS Performance, and 2010 Working Capital plus Capital Expenditures as a Percent of Net Sales Performance (net of foreign exchange), each as defined below, determined based on the following grid:
2010 Performance Goals. Determination of the Lapse of Forfeiture Restrictions on the Restricted Stock Award is governed 25% by the RSAEPS goals and 75% by the RSABV goals measured during the 2010 calendar year as follows: Threshold RSAEPS goal: $2.58 Maximum RSAEPS goal: $2.97 Threshold RSABV goal: 7 % Maximum RSABV goal: 10%
