22Affiliate Transactions. Except as set forth on Schedule 3.22, no officer, director, manager, equityholder, employee or Affiliate of Seller or Foreland or, to the Seller’s knowledge, any individual related by blood, marriage or adoption to any such individual or any entity in which any such Person or individual owns any beneficial interest, is a party to any agreement, contract, commitment or transaction with or is indebted to or is owed amounts from Seller or Foreland or any of Seller or Foreland’s material customers or suppliers or has any interest in any assets or property used by Seller or Foreland (including any Intellectual Property Rights). Except as set forth on Schedule 3.22, there are no intercompany services provided to or on behalf of Seller or Foreland by or to its Affiliates. None of the assets, tangible or intangible, or properties that are used by Foreland are owned by its Affiliates or, to the Seller’s knowledge, any individual related by blood, marriage or adoption to any such individual or any entity in which any such Person owns any beneficial interest.
