22Intercreditor Agreement. The Loan Parties, the Administrative Agent, the Lenders and the other Secured Parties agree and acknowledge that the exercise of certain of the Administrative Agent’s rights and remedies hereunder shall, upon the effectiveness of the Secured Note Intercreditor Agreement, be subject to, and restricted by, the provisions of the Secured Note Intercreditor Agreement. Each of the Loan Parties, the Administrative Agent, the Lenders and the other Secured Parties agree that, upon the effectiveness of the Secured Note Intercreditor Agreement (a) in the event of any conflict between the terms of this Agreement and the Secured Note Intercreditor Agreement, the terms of the Secured Note Intercreditor Agreement shall govern and control; and (b) it shall be bound by the terms and conditions of the Secured Note Intercreditor Agreement.
