26Technology Transfer Payments. From and after the Closing Date, Seller shall promptly reimburse Purchaser for any and all payments owed and unpaid by or on behalf of Seller to Patheon Manufacturing Services LLC in connection with technology transfer services related to the Product manufactured prior to the Closing Date within 15 Business Days following Purchaser’s receipt of an invoice therefor, with reasonable supporting documentation.
