2Payment Mechanics. All payments required to be made under this Agreement shall be made by wire transfer of immediately available funds, free of costs and charges (other than charges imposed by the recipient’s bank and subject to any applicable deduction or withholding of Taxes pursuant to Section 2.4(h)), to the account set forth in the Closing Payment Schedule or that the recipient has otherwise designated in writing.
