3Closing Conditions. (a)Conditions to the Purchasers’ Obligations to Effect the Sky Ease Closing or the BCI Closing. The obligation of a Purchaser to pay for the Sky Ease Purchased Shares or the BCI Purchased Shares, as applicable, as contemplated by this Agreement is subject to the satisfaction on or before the Sky Ease Closing Date or the BCI Closing Date, as applicable, of the following conditions, any of which may only be waived in writing by that Purchaser in its sole discretion:

  • Actions to Satisfy Closing Conditions Each Party shall take all actions as are within its power and otherwise use its commercially reasonable efforts so as to ensure compliance with the conditions set forth in this Section 6.
