5A.01 Effective Date; Notes. On or prior to the Initial Borrowing Date, (i) the Effective Date shall have occurred as provided in Section 12.10 and (ii) there shall have been delivered to the Administrative Agent for the account of each of the Lenders that has requested same not later than 3 Business Days prior to the Initial Borrowing Date the appropriate Term Note executed by the Borrower in the amount, maturity and as otherwise provided herein.
