5Organizational Documents. The Company will not, and will not permit any Consolidated Subsidiary to, amend, modify or otherwise change any of the terms or provisions in any of their respective certificate of incorporation and by-laws (or comparable constitutive documents) as in effect on the Closing Date to the extent that such change is reasonably expected to result in a Material Adverse Change.
5Organizational Documents. At the Effective Time: (a) the articles of incorporation of Lifted shall be the articles of incorporation of the Surviving Entity; and (b) the by-laws of Lifted shall be the by-laws of the Surviving Entity.
