5Services from Affiliates. Purchaser acknowledges that the Business currently receives from the Seller and its Affiliates (including through Contracts to which the Seller or its Affiliates are party that are Excluded Assets) certain administrative, corporate and other services and benefits, including accounting, legal, intellectual property related services, information technology services reporting and back office services and processing, financial systems, treasury services (including insurance, human resources, cash management, financing, taxation and internal audit), research and development (including pharmacovigilance and operations), regulatory and medical affairs, technical development, quality, product supply (including procurement, production, CMO management, distribution and quality), product safety, environmental management and marketing and sales support. Other than as may be provided pursuant to the terms of the Transitional Services Agreement, Purchaser further acknowledges that all such services and benefits shall cease, and any agreement in respect thereof shall terminate with respect to the Business as of the Closing Date and thereafter the Seller’s and its Affiliates’ sole obligation with respect to the provision of any services with respect to the Business shall be as set forth in the Transitional Services Agreement. ​ ​
