Common use of 6Entire Agreement Clause in Contracts

6Entire Agreement. This Agreement (together with the other agreements, certificates, instruments and documents delivered pursuant hereto and the schedules attached hereto) constitutes the entire agreement among the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous term sheets, agreements and understandings, oral and written, among the parties hereto with respect to the subject matter hereof.

6Entire Agreement. This Agreement (Agreement, together with the its Schedules and any other agreementsdocuments incorporated herein by reference, certificates, instruments and documents delivered pursuant hereto and the schedules attached hereto) constitutes the sole and entire agreement among between the parties hereto with respect to the subject matter hereof, of this Agreement and supersedes and merges all prior and contemporaneous term sheetsproposals, agreements and understandings, oral agreements, representations and writtenwarranties, among both written and oral, between the parties hereto with respect relating to such subject matter. In the subject matter hereofevent of any inconsistency between this Agreement and its Schedules, the terms and conditions of this Agreement shall govern.

6Entire Agreement. This Agreement (together with the other agreements, certificates, including all agreements entered into pursuant hereto and all certificates and instruments and documents delivered pursuant hereto and the schedules attached heretothereto) constitutes the entire agreement among of the parties hereto with respect to the subject matter hereof, hereof and supersedes supersede all prior and contemporaneous term sheetsagreements, agreements and representations, understandings, negotiations and discussions between the parties, whether oral and or written, among the parties hereto with respect to the subject matter hereof.

6Entire Agreement. This Agreement (together with including the Schedules) and the other agreementsTransaction Agreements (and all exhibits, certificatesappendices, instruments annexes and documents delivered pursuant schedules hereto and thereto) and the schedules attached hereto) constitutes Confidentiality Agreement collectively constitute and contain the entire agreement among the parties hereto and ​ ​ understanding of Xxxxxx and Buyer with respect to the subject matter hereof, hereof and supersedes thereof and supersede all prior and contemporaneous term sheetsnegotiations, correspondence, understandings, agreements and understandingscontracts, oral and writtenwhether written or oral, among the parties hereto with respect to Parties and thereto respecting the subject matter hereofhereof and thereof.

6Entire Agreement. This Agreement (together with the other agreements, certificates, instruments and documents delivered pursuant hereto and the schedules attached hereto) constitutes the entire agreement among documents referred to herein are intended by the parties hereto as a final expression of their agreement with respect to the subject matter hereof, and are intended as a complete and exclusive statement of the terms and conditions of such agreement, and there are no other agreements or understandings, written or oral, among the parties hereto, relating to the subject matter hereof. This Agreement supersedes all prior and contemporaneous term sheets, agreements and understandings, oral and writtenwritten or oral, among the parties hereto with respect to the subject matter hereof.

This Agreement (together with the other agreements, certificates, instruments and documents delivered pursuant hereto and the schedules attached hereto) constitutes documents referred to herein and therein constitute the entire agreement among and understanding of the parties hereto Parties with respect to the subject matter hereofof this Agreement, and supersedes supersede all prior understandings and contemporaneous term sheetsagreements, agreements and understandings, whether oral and or written, between or among the parties Parties hereto with respect to the specific subject matter hereof.
