8Non-Recourse Clause Samples

8Non-Recourse. This Agreement may be enforced only against the named Parties. All claims or causes of action that may be based upon, arise out of or relate to this Agreement, or the negotiation, execution or performance of this Agreement, may be made only against the Persons that are expressly identified as Parties, and neither any past, present or future Affiliate nor any past, present or future equityholder or Representative of Buyer, any Seller Party or any of their respective Affiliates (including any Person negotiating or executing this Agreement on behalf of a Party) shall have any Liability with respect to this Agreement or with respect to any claim or cause of action that may arise out of or relate to this Agreement or the negotiation, execution or performance of this Agreement (except to the extent such Person is a Party).
