8Performance by Shareholders. Subject to Law, the Shareholders shall cause the Company and Parent to comply with the terms of this Agreement that apply to Parent or the Company, as applicable, and to perform the obligations to be performed by Parent and the Company prior to the Closing under this Agreement, in each case subject to the terms, conditions and limitations set forth herein. Prior to the Closing, other than with respect to the Contribution, no Shareholder will sell, assign, pledge, sublease, license, sublicense, abandon or otherwise dispose of, lease or otherwise transfer any Shares or equity interests of Parent, or grant any other Person voting control or authority over any such Shares or equity interests.
