9Third Party Beneficiaries Sample Clauses

9Third Party Beneficiaries. This Agreement is entered into only for the benefit of Company and Itron. No other person or entity shall have the right to make any claim or assert any right hereunder, and no other person or entity shall be deemed a beneficiary of this Agreement.

9Third Party Beneficiaries. With the exception of the provisions of Article 9 which are intended to be for the benefit of, and will be enforceable by, the Indemnified Parties, nothing in this Agreement is intended or shall be construed to entitle any Person, other than the Parties, their respective transferees and assigns permitted hereby, to any claim, cause of action, remedy or right of any kind.

9Third Party Beneficiaries. Notwithstanding anything to the contrary contained herein, no provision of this Lease is intended to benefit any party other than Landlord and ▇▇▇▇▇▇ as the named parties hereunder and their permitted heirs, personal representatives, successors and assigns, and no provision of this Lease shall be enforceable by any other party.

9Third Party Beneficiaries. None of the provisions of this Agreement shall be for the benefit of or enforceable by any Third Party, including any creditor of either Party, (whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise); provided that [***] shall be a third party beneficiary of this Agreement to the extent permitted under Applicable Laws, solely to enforce the Applied Patent Rights and/or Applied Technology (in each case, which are owned by [***]). Subject to the foregoing and the indemnification obligations set forth in Sections 17.1 17.2, and 17.3 which shall be enforced by each Party with respect to any of their respective indemnified parties, no Third Party shall obtain any right under any provision of this Agreement or shall by reason of any such provision make any claim in respect of any debt, liability or obligation (or otherwise) against either Party.

9Third Party Beneficiaries. The Parties agree that Lender is an express Third Party creditor beneficiary in respect of the Services Provider’s obligations and the Services Recipient’s rights hereunder. Except as set forth in the preceding sentence, nothing in this Agreement shall create or be deemed to create any Third Party beneficiary rights in any Person that is not a Party and the respective successors and permitted assigns of a Party, or the Parties’ respective related indemnified Persons hereunder, or any other any rights, remedies, obligations or liabilities under or by reason of this Agreement; provided that only a Party and its respective successors and permitted assigns will have the right to enforce the provisions of this Agreement on its own behalf or on behalf of any of its related indemnified Persons (but shall not be obligated to do so).

9Third Party Beneficiaries. There are no other third-party beneficiaries under this Agreement, any Order Form, or any Statement of Work

9Third Party Beneficiaries. This Agreement will inure to the benefit of and be binding upon the parties hereto and their respective successors and permitted assigns. Except as provided in this Section 36.9 or to the extent provided in relation to any Facility Indemnified Parties, no other Person will have any right or obligation hereunder.

9Third Party Beneficiaries. (a) The Contracting Party and the Agent hereby acknowledge and agree that the Secured Parties are intended third party beneficiaries of this Direct Agreement. Furthermore, the Company and the Contracting Party acknowledge that the terms of the Assigned Agreement are subject to in all cases the terms of this Direct Agreement. The Company and the Contracting Party agree, to the fullest extent of the law, that the Agent is an express third party beneficiary of the immediately preceding sentence with all powers granted to such third party beneficiary under applicable law.
