(a) Due Organization Sample Clauses

(a) Due Organization. It is a Single-Purpose ---------------- general partnership (or to the extent otherwise permitted hereunder, a limited liability company or limited partnership) duly organized, validly existing and in good standing under the laws of its formation, and (except for Owners which only own Mortgaged Properties located in the State of its formation) is duly qualified as a foreign general partnership (or to the extent otherwise permitted hereunder, a limited liability company or limited partnership) to transact business in the jurisdiction in which the Mortgaged Property it owns is located, to the extent, if any, that such qualification is required by the laws of such jurisdiction. It has its principal place of business, principal office and office in which it keeps its books and records as to the Collateral at its Notice Address.
