Common use of A Power of Attorney Clause in Contracts

A Power of Attorney. and the Custody Agreement have been duly executed and delivered by Selling Shareholder and, assuming the due authorization, execution and delivery of the Custody Agreement by the other parties thereto, each constitutes the valid and binding agreement of Selling Shareholder enforceable in accordance with its terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws relating to or affecting creditors' rights generally or by general principles of equity relating to the availability of remedies and except rights to indemnity or contribution may be limited by applicable securities laws and the public policy underlying such laws;
