AAAAA. SPECIAL ASSIGNMENT - Same as Non-Flying Assignment. BBBBB. TEMPORARY VACANCY - A vacancy for a position that is expected to exist less than three (3) bid periods.

AAAAA. Provide in a timely manner all accurate information to be provided by it under this Agreement, including providing the Book Running Lead Managers, the Company and each of the Selling Shareholders with detailed data so as to understand the share in commissions between the Book Running Lead Managers and the Designated Intermediaries authorized to accept and bid as per information provided on the website of the Stock Exchanges.

AAAAA. A new Section 1.1(aaaaa) shall be added to the Acquisition Agreement to read, in its entirety, as follows:

AAAAA. The Lender hereby gives CFS, limited, non-exclusive, non-transferable, royalty-free permission, during the term of this Agreement (including any extensions and renewals hereof), to use the Lender's name and/or the name and/or logo of Lender's Educaid affiliate on marketing and promotional materials related to the RWPCL Program (the "Marketing Materials"). Lender shall not enter into any new business relationships with any entity in which it may add or acquire any new marketing agents to market Eligible Loans as defined in Section 2 hereinabove. As of the execution date hereof, Lender is the sole funding source for RWPCL Loans. In the event CFS enters into a new business relationship during the term of this Agreement in which it may add or acquire any other lender to fund RWPCL Loans, Lender shall at all times thereafter, subject to the terms and conditions of this Agreement, be given full opportunity to fund no less than [****]% of all RWPCL Loans originated after the date any such additional lender relationship is established (measured by the total number of RWPCL Loans originated by CFS, not the aggregate loan amount) BBBBB. Lender and CFS shall agree with each other as to the form and substance of any press release relating to this Agreement and any press release about the RWPCL Program referencing or identifying the Lender, and consult with each other as to the form and substance of other public disclosures related to Lender's participation in the RWPCL Program; provided, however, that nothing contained in this Agreement shall prohibit any party from making any disclosure which its legal counsel reasonably deems necessary to comply with Applicable Law.

AAAAA. Traffic Study-Intersection Improvements Prior to the issue of an Occupation Certificate (whether an interim or final Occupation Certificate), the Principal Certifier and Council must be provided with a comprehensive traffic study that assesses/considers the following options for improvements to the intersection of ▇▇▇▇▇▇ Street and Old Canterbury Road: A Right Turn Bay from Old Canterbury Road into ▇▇▇▇▇▇ Street. During peak times vehicles stand across the intersection delaying right turn movements into ▇▇▇▇▇▇ Street which in turn impedes through traffic on Old Canterbury Road; A Seagull Treatment i.e. to allow right turns into ▇▇▇▇▇▇ Street and right turn out of ▇▇▇▇▇▇ Street. This would improve the safety of making right turns out of ▇▇▇▇▇▇ Street in particular during peak times; and Any other options to improve the efficiency and safety of the intersection.
