Common use of Abandoned Property Laws Clause in Contracts

Abandoned Property Laws. Payment or delivery of the shares of LMG Series A Stock, any cash in lieu of fractional shares thereof and any dividends or distributions with respect thereto in accordance with the terms hereof shall be subject to applicable abandoned property, escheat and similar laws and none of TCI, Merger Sub, the Surviving Corporation or the Company shall be liable to any holder of shares of Company Common Stock or LMG Series A Stock for any such shares, for any dividends or distributions with respect thereto or for any cash in lieu of fractional shares which may be delivered to any public official pursuant to any abandoned property, escheat or similar law.
