Common use of Abandonment of Merger or Consolidation Clause in Contracts

Abandonment of Merger or Consolidation. After such approval by vote or consent of the Class 1 Members, and at any time prior to the filing of the certificate of merger or consolidation pursuant to Section 10.04, the merger or consolidation may be abandoned pursuant to provisions therefor, if any, set forth in the Merger Agreement. The Merger Agreement shall also require the approval of any other class of Members if such approval is specifically required by this Agreement or a Certificate of Designations adopted pursuant to this Agreement.
