Ability and Authority. 1.1 Party B and Prosoft have the right, power and authority to execute and perform this Contract and each document to be executed on or before the Closing Date (as the case may be) and to exercise its rights and obligations under this Contract and each such document.
1.2 Prosoft has the right, power and authority to be engaged in the businesses it is engaged in as of the execution date of this Contract and the Closing Date.
