Borrower is not a party to any indenture, loan or credit agreement or any lease or other agreement or instrument or subject to any corporate or partnership restriction which would alter the manner in which Borrower does business and which would have a material adverse effect on the business, properties, assets, operations or condition, financial or otherwise, of Borrower or on the ability of Borrower to carry out its obligations under the Financing Documents.
