Common use of Absence of Breach; No Consents Clause in Contracts

Absence of Breach; No Consents. The execution, delivery, and performance of this Agreement, and the performance by WeR and the Shareholders of their respective obligations hereunder will not (i) violate or conflict with any of the provisions of the Charter or Bylaws of WeR as amended to the date hereof; (ii) contravene any law, ordinance, rule, or regulation of any State or political subdivision thereof or of the United States or of any applicable foreign jurisdiction, or contravene any order, writ, judgment, injunction, decree, determination, or award of any court or other authority having jurisdiction, or cause the suspension or revocation of any authorization, consent, approval, or license, presently in effect, which affects or binds WeR or any of its material properties; (iii) result in a breach of any term or provision of, or constitute a default under, or result in the acceleration of or entitle any party to accelerate (whether after the giving of notice or the lapse of time or both) any obligation under, or result in the creation or imposition of any lien, charge, pledge, security interest or other encumbrance of all or any part of the property of WeR pursuant to any provision of, any order, judgment, arbitration award, injunction, decree, indenture, mortgage, lease, license, lien or other agreement or instrument to which WeR or any of the Shareholders are a party or by which any of them is bound; (iv) require the authorization, consent, approval of, or license, declaration, filing or registration with, any governmental or regulatory authority or any third party; or (v) constitute grounds for the loss or suspension of any permits, licenses, or other authorizations used in the business of WeR.

The execution, delivery, and performance of this Agreement, and the performance by WeR Chartendure and the Shareholders of their respective obligations hereunder will not (i) violate or conflict with any of the provisions of the Charter Articles of Association or Bylaws of WeR Chartendure as amended to the date hereof; (ii) contravene any law, ordinance, rule, or regulation of any State or political subdivision thereof or of the United States U.K. or of any applicable foreign jurisdiction, or contravene any order, writ, judgment, injunction, decree, determination, or award of any court or other authority having jurisdiction, or cause the suspension or revocation of any authorization, consent, approval, or license, presently in effect, which affects or binds WeR Chartendure or any of its material properties; (iii) result in a breach of any term or provision of, or constitute a default under, or result in the acceleration of or entitle any party to accelerate (whether after the giving of notice or the lapse of time or both) any obligation under, or result in the creation or imposition of any lien, charge, pledge, security interest or other encumbrance of all or any part of the property of WeR Chartendure pursuant to any provision of, any order, judgment, arbitration award, injunction, decree, indenture, mortgage, lease, license, lien or other agreement or instrument to which WeR Chartendure or the any of the Shareholders are a party or by which any of them is bound; (iv) require the authorization, consent, approval of, or license, declaration, filing or registration with, any governmental or regulatory authority or any third party; or (v) constitute grounds for the loss or suspension of any permits, licenses, or other authorizations used in the business of WeR.Chartendure.
