Common use of Absence of Brokerage or Finders Commissions Clause in Contracts

Absence of Brokerage or Finders Commissions. Except for the engagement of The Xxxxxx Xxxxxx Company by 1st Financial: (i) all negotiations relative to this Agreement and the transactions described herein have been carried on by 1st Financial directly (or through its legal counsel) and no person or firm has been retained by or has acted on behalf of, pursuant to any agreement, arrangement or understanding with, or under the authority of, AB&T or its Board of Directors, as a broker, finder or agent or has performed similar functions or otherwise is or may be entitled to receive or claim a brokerage fee or other commission in connection with or as a result of the transactions described herein; and (ii) 1st Financial has not agreed, and has no obligation, to pay any brokerage fee or other commission to any person or entity in connection with or as a result of the transactions described herein.

Except for the engagement by Xxxxxxxx of The Xxxxxx Xxxxxx Company by 1st Financial: Sterne, Agee & Xxxxx, Inc., (ia) all negotiations relative to this Agreement and the transactions described herein have been carried on by 1st Financial Xxxxxxxx directly (or through its legal counsel) with BOC and BOCC, and no person or firm has been retained by or has acted on behalf of, pursuant to any agreement, arrangement or understanding with, or under the authority of, AB&T of Xxxxxxxx or its Board of Directors, as a broker, finder or agent or has performed similar functions or otherwise is or may be entitled to receive or claim a brokerage fee or other commission in connection with or as a result of the transactions described herein; and (iib) 1st Financial Xxxxxxxx has not agreed, and has no obligation, to pay any brokerage fee or other commission commission, fee or other compensation to any person or entity in connection with or as a result of the transactions described herein.
