Common use of Absence of Brokers, Finders, Etc Clause in Contracts

Absence of Brokers, Finders, Etc. No broker, finder or similar Person other than the Placement Agent is entitled to any commission, fee or other compensation by reason of action taken by or on behalf of the Company in connection with the transactions contemplated by this Agreement, and the Company shall pay, and indemnify and hold harmless the Buyer from, any claim made against the Buyer by any Person for any such commission, fee or other compensation.

Absence of Brokers, Finders, Etc. No broker, finder or similar Person (other than the Placement Agent Agent) is entitled to any commission, fee or other compensation by reason of action taken by or on behalf of the Buyer in connection with the transactions contemplated by this Agreement and the Buyer shall pay and indemnify and hold harmless the Company from, any claim made against the Company by any Person other than the Placement Agent for any such commission, fee or other compensation based on action taken by the Buyer in connection with the transactions contemplated by this Agreement, and the Company shall pay, and indemnify and hold harmless the Buyer from, any claim made against the Buyer by any Person for any such commission, fee or other compensation.
