Common use of Absence of Brokers, Finders, Etc Clause in Contracts

Absence of Brokers, Finders, Etc. Except as set forth on Schedule 4(w), no broker, finder or similar Person is entitled to any commission, fee or other compensation by reason of action taken by or on behalf of the Borrower or any Subsidiary in connection with the transactions contemplated by this Agreement (other than Sigma Advisors pursuant to the Advisory Services Agreement), and the Borrower shall pay, and indemnify and hold harmless Purchaser from, any claim made against the Purchaser by any Person for any such commission, fee or other compensation.

Except as set forth on Schedule 4(w)Section 4(o) of the Disclosure Schedule, no broker, finder finder, or similar Person is entitled to any commission, fee fee, or other compensation by reason of action taken by or on behalf of the Borrower or any Subsidiary in connection with the transactions contemplated by this Agreement (other than Sigma Advisors pursuant to the Advisory Services Agreement), and the Borrower Company shall pay, and indemnify and hold harmless Purchaser the Buyer from, any claim made against the Purchaser Buyer by any Person for any such commission, fee or other compensation.
