Absence of Certain Types of Plans. No Plan is described in Section 401(a)(1) of ERISA. SECTION 4.11(b) of the Disclosure Schedule lists all Plans that obligate the Company to pay separation, severance, termination or similar-type benefits as a result of any transaction contemplated by this Agreement or as a result of a "change in control," within the meaning of such term under Section 280C of the Code.
