Absence of Company Material Adverse Effect. There shall not have occurred any event since the date of this Agreement and no circumstance shall exist that constitute or would reasonably be expected to result in a Company Material Adverse Effect, and the Purchaser shall have received a certificate signed by an authorized officer of the Company to such effect.
