Common use of Absence of Finders’ Fees Clause in Contracts

Absence of Finders’ Fees. Except as described in the Registration Statement or the Prospectus, or as contemplated by this Agreement, there are no (A) claims, payments, arrangements, agreements or understandings relating to the payment of a finder’s, consulting or origination fee or commission or similar payment by the Company to the Placement Agent with respect to the transactions contemplated hereby or (B) arrangements, agreements or understandings of the Company or any affiliate of the Company that may affect the Placement Agent’s compensation in connection with the transactions contemplated hereby as determined by FINRA.

Absence of Finders’ Fees.
