Common use of Absence of Further Action Clause in Contracts

Absence of Further Action. No Governmental Authorizations from any Governmental Agency is required for (A) the issue and sale of the ADSs and the Common Shares represented thereof to be sold by the Company under the Underwriting Agreement (the “Offered Securities”), (B) the deposit of the Common Shares represented by the Offered Securities with the Depositary or its nominee, and (C) the consummation by the Company and the Depositary of the transactions contemplated by the Underwriting Agreement and the Deposit Agreement, as applicable.

Absence of Further Action. No Governmental Authorizations from any Governmental Agency is required for (A) the issue and sale of the ADSs Offered Securities and the Common Ordinary Shares represented thereof at such Closing Date to be sold by the Company under the Underwriting Agreement (the “Offered Securities”)this Agreement, (B) the deposit of the Common Ordinary Shares represented by the Offered Securities with the Depositary or its nominee, and (C) the consummation by the Company and the Depositary of the transactions contemplated by the Underwriting this Agreement and the Deposit Agreement, as applicable.

No Except as disclosed in the General Disclosure Package as of the Applicable Time, no Governmental Authorizations from any Governmental Agency is required for (A) the issue and sale of the ADSs Offered Securities and the Common Ordinary Shares represented thereof at such Closing Date to be sold by the Company under the Underwriting Agreement (the “Offered Securities”)this Agreement, (B) the deposit of the Common Ordinary Shares represented by the Offered Securities with the Depositary or its nominee, and (C) the consummation by the Company and the Depositary of the transactions contemplated by the Underwriting this Agreement and the Deposit Agreement, as applicable.
